TERMS AND CONDITIONS
THIS ENROLLMENT IS MADE BETWEEN FIXED OPS DIGITAL, LLC AND THE DEALERSHIP SET FORTH ABOVE, AS OF THE CONTRACT DATE. IN EXCHANGE FOR THE INVESTMENT SET FORTH BELOW, DUE AND PAYABLE. FIXED OPS DIGITAL, LLC WILL PROVIDE THE “SERVICES” DESCRIBED BELOW AND WILL BE IN EFFECT ON A MONTH-TO-MONTH BASIS AS A COMMITMENT TO FIXED OPS DIGITAL, LLC. DEALER WALLET WILL BE GOVERNED BY THE THEN CURRENT STANDARD TERMS AND CONDITIONS OF THE SOFTWARE LICENSOR AVAILABLE AT https://developer.apple.com/terms/ AND https://developer.android.com/studio/terms. Neither Party will use or disclose the other party’s Confidential Information without the other’s prior written consent except for the purpose of performing its obligations under this Agreement or if required by law, regulation or court order; in which case, the party being compelled to disclose Confidential Information will give the other party as much notice as is reasonably practicable prior to disclosing the Confidential Information. AFTER THE INITIAL (1) MONTH COMMITMENT THE DEALER SHALL HAVE THE OPTION OF CANCELING ANY OF THE SERVICES FOR ANY ROOFTOP AT ANY TIME. cancelation WILL be effective on the last day of the first full month following WRITTEN NOTICE TO CANCEL@FIXEDOPSDIGITAL.COM. In the event the Dealership or Fixed Ops Digital, LLC terminates or otherwise cancels this Agreement, the Dealership retains the rights to all pages, urls, internal link building and written content on each and every page. All Fixed Ops Digital, LCC deployed images and Dealer Wallet will be removed at the conclusion of this agreement. In the event THE DEALERSHIP or FIXED OPS DIGITAL, LLC terminates or otherwise cancels this Agreement. The laws and jurisdiction of the State of Colorado without regard to its conflict or choice of law provisions governs this Agreement and the provision of the FIXED OPS DIGITAL, LLC Services and/or Application Services by FIXED OPS DIGITAL, LLC and its Service Providers. This Agreement constitutes the entire agreement and understanding of the Parties in regard to the subject matter contained within this Agreement. This Agreement supersedes all prior agreements, consents and understandings whether oral or written in regard to the subject matter of this Agreement.

DEALER IS OBLIGATED TO PAY FIXED OPS DIGITAL, LLC THE APPLICABLE INVESTMENT EACH MONTH AND WILL BE BOUND BY THE TERMS AND SHALL BECOME EFFECTIVE on the signed agreement date.
